By accessing and using our ATM maintenance and uninterrupted operation services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you and our organization. If you do not agree with any part of these terms, you must immediately discontinue use of our services.
Our services are designed to ensure continuous and reliable operation of automated teller machines through professional maintenance, technical support, and monitoring solutions. We reserve the right to modify these terms at any time, and continued use of our services following any changes constitutes acceptance of those modifications.
Users of our ATM maintenance services must comply with all applicable laws and regulations governing financial equipment operation. You are responsible for maintaining the confidentiality of any access credentials provided for service monitoring or reporting systems.
Users must not engage in any activities that could compromise the integrity, security, or functionality of ATM equipment or our service delivery systems. This includes but is not limited to unauthorized modifications, interference with maintenance procedures, or misrepresentation of equipment status.
While we strive to provide exceptional ATM maintenance services, certain limitations apply to our service scope and availability. Our services are subject to technical feasibility, parts availability, and compliance with manufacturer specifications.
Service response times may vary based on geographic location, severity of issues, and current service load. Emergency services are prioritized based on critical impact assessment.
Our services do not cover damages resulting from force majeure events, user negligence, unauthorized modifications, or failure to follow recommended operational guidelines. Third-party software issues and network infrastructure problems outside our control are excluded from standard service agreements.
All intellectual property rights related to our service methodologies, diagnostic tools, proprietary software, technical documentation, and training materials remain the exclusive property of our organization. This includes but is not limited to trademarks, service marks, trade secrets, and copyrighted materials.
We grant you a limited, non-exclusive, non-transferable license to access and use our service platforms and documentation solely for the purpose of receiving ATM maintenance services. This license does not permit reproduction, distribution, modification, or reverse engineering of any proprietary materials.
Both parties agree to maintain confidentiality of all proprietary information exchanged during the service relationship. This includes technical specifications, service reports, security protocols, and business operations data. Confidential information may not be disclosed to third parties without prior written consent.
IMPORTANT: Please read this section carefully as it limits our liability under certain circumstances.
We warrant that our services will be performed with professional care and expertise consistent with industry standards. However, we do not guarantee uninterrupted or error-free operation of ATM equipment, as performance can be affected by factors beyond our control including but not limited to environmental conditions, power fluctuations, network failures, and component wear.
To the maximum extent permitted by law, our total liability for any claims arising from or related to our services shall not exceed the amount paid for services during the twelve months preceding the claim. We shall not be liable for indirect, incidental, consequential, special, or punitive damages including but not limited to lost profits, business interruption, or loss of data.
You agree to indemnify and hold harmless our organization, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these terms, misuse of services, or violation of applicable laws and regulations.
We are committed to resolving any disputes or concerns through fair and efficient processes. Both parties agree to attempt good faith negotiations before pursuing formal legal proceedings.
In the event of any dispute arising from these terms or our services, the parties agree to first attempt resolution through direct negotiation. If negotiation fails to resolve the dispute within thirty days, the parties agree to participate in mediation administered by a mutually agreed upon neutral mediator.
If mediation does not result in resolution within sixty days, any remaining disputes shall be resolved through binding arbitration in accordance with established arbitration rules. The arbitration shall be conducted in the English language, and the arbitrator's decision shall be final and binding upon both parties.
These Terms and Conditions shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Each party consents to the exclusive jurisdiction of competent courts for any matters not subject to arbitration.
Service fees are established based on service level agreements, equipment complexity, and response time requirements. All fees must be paid according to agreed payment schedules. Late payments may result in service suspension and additional charges as specified in service agreements.
We reserve the right to adjust service fees with reasonable advance notice. Price changes will not affect existing service contracts until renewal. All fees are exclusive of applicable taxes, which shall be the responsibility of the service recipient.
We are committed to protecting the privacy and security of information collected during service delivery. Personal and business data is processed in accordance with applicable data protection regulations. We implement appropriate technical and organizational measures to safeguard information against unauthorized access, disclosure, or destruction.
Service data including equipment performance metrics, maintenance logs, and operational statistics may be collected and analyzed to improve service quality. Such data is anonymized and aggregated when used for analytical purposes. We do not sell or share client information with third parties except as necessary for service delivery or as required by law.
Service agreements commence upon execution and continue for the specified term unless terminated earlier in accordance with these terms. Agreements may automatically renew for successive periods unless either party provides written notice of non-renewal.
Either party may terminate services for cause upon written notice if the other party materially breaches these terms and fails to cure such breach within thirty days. We reserve the right to immediately suspend or terminate services if continuation poses security risks or violates applicable laws.
Upon termination, all outstanding fees become immediately due and payable. Confidentiality obligations survive termination indefinitely. We will provide reasonable assistance in transitioning services to alternative providers subject to payment of applicable fees.
These Terms and Conditions, together with any executed service agreements, constitute the entire agreement between the parties regarding ATM maintenance services and supersede all prior agreements, understandings, and communications.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be reformed to achieve their intended purpose to the maximum extent possible.
Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision. All waivers must be in writing and signed by authorized representatives.
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign these terms or delegate our obligations to qualified service providers or successor entities.
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control including natural disasters, war, terrorism, labor disputes, government actions, or infrastructure failures. Affected parties must provide prompt notice and make reasonable efforts to resume performance.
By using our ATM maintenance services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.
